These Terms and Conditions (the “Terms”) govern your access to and use of the online auction platform operated by C&H Global Holdings LLC, a Wyoming limited liability company organized under the laws of the State of Wyoming (the “Company,” “we,” “us,” or “our”). By creating an account, accessing, or using the WinDash platform and its website www.windash.com (the “Site”), or any related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1.1 Binding Agreement. These Terms constitute a binding agreement between you and Company.
1.2 Changes. We may update these Terms from time to time. Changes are effective upon posting to the Site or on the effective date specified. Your continued use of the Services after changes become effective constitutes acceptance.
1.3 Supplemental Terms. Certain auctions, categories, or features may be subject to additional terms. In the event of conflict, supplemental terms control for their subject matter.
2.1 Age Requirement. The Services are intended solely for individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is greater. By using the Services, you represent and warrant that you meet this requirement.
2.2 Authority. If you bid or register on behalf of a business entity, you represent and warrant that you have authority to bind that entity and that the entity accepts these Terms.
2.3 Prohibited Users. You may not use the Services if (a) you have been suspended or removed by Company, (b) you are located in a jurisdiction where use of the Services is prohibited, or (c) doing so would violate applicable law.
3.1 Registration. To bid or list items, you must create an account and provide accurate, current, and complete information, including valid payment details as required.
3.2 Account Security. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any suspected unauthorized use.
3.3 Verification. We may require identity, payment, or other verification at any time and may suspend or terminate accounts that fail verification or violate these Terms.
3.4 One Account Per Person. Each user is permitted one (1) account only. Creating multiple accounts to gain additional bids, circumvent ranking requirements, take advantage of first-time user promotions, or for any other reason is strictly prohibited and will result in permanent termination of all associated accounts and forfeiture of all balances.
4.1 Listings. All auction listings are created and promoted exclusively by the Company. The Company is the sole seller of all items unless otherwise expressly stated in a listing.
4.2 Accuracy. The Company is responsible for the accuracy, completeness, and legality of all listings and items. Buyers are responsible for carefully reviewing all listing details, photos, and terms before placing bids.
4.3 Prohibited Items. The listing, sale, or purchase of items prohibited by law or by our policies is not permitted. The Company reserves the right to remove or cancel any listing at its sole discretion.
4.4 Content License. By posting or submitting content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display such content in connection with the Services.
WinDash operates a proprietary auction model. By participating in any auction, you agree to understand and comply with the rules outlined below, as well as any additional details provided on the “How It Works” page.
5.1.1 All bids placed on the platform constitute legally binding offers to purchase the listed item under the terms of the applicable listing and these Terms. If you are the winning bidder, you are required to complete the transaction.
5.1.2 Only users who meet eligibility requirements and maintain accounts in good standing may participate in auctions. WinDash reserves the right to impose bidding limits and may require deposits or payment pre-authorizations at its discretion.
5.2.1 All bids must follow the bid increments displayed on the auction listing. Sellers may set reserve prices, and items may not be sold if the reserve is not met.
5.2.2 WinDash reserves the right to cancel or void bids or auctions affected by technical errors, system disruptions, or incorrect listings. All such determinations are final.
5.3.1 Auctions close at the time indicated on the listing, subject to any applicable anti-sniping or “soft close” features. Where enabled, bids placed within a specified time window before closing may extend the auction duration.
5.3.2 An auction is considered officially started when the first valid bid is placed following any pre-auction countdown period, not when the countdown itself expires.
5.4.1 WinDash uses a subscription-based bidding system. Users may purchase one of the following monthly plans, each of which includes a fixed allocation of bids:
Unused bids that are not spent on auction enrollment or bidding are returned to the user’s balance after each auction concludes.
At the end of each billing cycle, a portion of unused bids may roll over to the next cycle:
Bids that do not qualify for rollover expire at the end of the billing cycle. Rollover bids do not accumulate indefinitely.
Subscribers who exhaust their monthly bids may purchase one Bid Booster per billing cycle:
Booster bids follow the same rollover rules as subscription bids and are non-refundable once any portion has been used.
One-time auction passes are available to:
Each pass grants entry into a single auction and includes a fixed number of bids to be used during that auction. Any unused bids expire immediately at the end of the auction and are neither refundable nor transferable. The price will range from $2.50 to $10, depending on the auction item. One-time pass users are subject to a per-auction bid limit of twenty-five (25) bids, consistent with the limit applicable to Starter plan subscribers, as further described in Section 5.4.4.
5.4.4 Per Auction Bid Limit
The Company imposes a maximum number of bids that a user may place in any single auction (“Per-Auction Bid Limit”), regardless of the user’s total available bid balance. The applicable limit is determined by the user’s subscription plan at the start of the auction and is set at twenty-five (25) bids for Starter and one-time pass users, twenty-six (26) bids for Pro users, and twenty-seven (27) bids for Power users. This structure is designed to preserve the fairness and integrity of the auction process by preventing participants from accurately tracking or predicting the remaining bids of other users, as subscription plans and corresponding bid limits are not disclosed. Users acknowledge that this limitation reduces the risk of strategic manipulation, including coordinated bidding or collusion, and agree that once the applicable bid limit is reached, no further bids may be placed in that auction, regardless of any remaining balance. All such limits and auction outcomes as enforced and recorded by the Company shall be final and binding.
Users may upgrade to a higher subscription tier at any time. Upon upgrade:
Downgrades take effect at the start of the next billing cycle.
5.4.6 Referral Program Terms
5.4.6.1 Eligibility and Participation: Each registered user of WinDash (the "Referrer") is provided with a unique referral code (the "Referral Code"). The Referrer may share this Referral Code with potential new users (the "Referred User").
5.4.6.2 Referral Process: To participate in the referral program, the Referred User must enter the Referral Code during the registration process on the WinDash platform. The Referrer will become eligible for a referral bonus only after the Referred User successfully completes their first subscription payment.
5.4.6.3 Referral Bonus: Upon the Referred User's completion of their initial subscription payment, the Referrer will receive a bonus consisting of 100 bids and 100 stars (the "Referral Bonus"). This Referral Bonus is credited to the Referrer's account.
5.4.6.4 Promo Code Usage: Promo codes may be utilized in conjunction with the referral program. The terms and conditions applicable to promo codes will govern their use and application.
5.4.6.5 Limitations and Conditions: The Referral Bonus is subject to verification by WinDash and may be withheld or revoked if any fraudulent or abusive activity is detected. WinDash reserves the right to modify or terminate the referral program at any time, with or without notice, subject to applicable law.
5.4.6.6 General Terms: Participation in the referral program constitutes acceptance of these terms and conditions. All decisions made by WinDash regarding the referral program are final and binding.
5.4.7 New User Gift Card Auction Entries
New users will receive two (2) complimentary entries to gift card auctions upon registration. The first entry is credited automatically at account creation. The second entry is awarded only if the user does not win their first gift card auction. Both entries are subject to the platform's standard auction mechanics and win/lose conditions. These complimentary entries are non-transferable, have no cash value, and may not be combined with other promotions unless expressly permitted by the Company. The Company reserves the right, at its sole discretion, to modify, suspend, or terminate this offer at any time without prior notice.
Auction Duration: Auctions for items valued between $10 and $50 shall run for twenty-four (24) hours. Auctions for items valued between $50 and $100 shall run for thirty-six (36) hours. The Company reserves the right to modify auction durations at its sole discretion.

5.5.2 Bid Transmission
The winner of an auction is the last user to place a valid bid before the timer expires. Winners must complete payment within the specified timeframe in Section 6.3. Failure to do so may result in forfeiture of the item and relisting.
5.7.1 WinDash features a tiered ranking system that provides access to higher-value auctions and enrollment discounts. Rankings are earned through platform activity, including bidding, enrollment, subscriptions, and promotional tasks.
5.7.2 WinDash reserves the right to modify ranking thresholds, benefits, and reward structures at any time with reasonable notice.
6.1 Buyer’s Payment Obligation. If you win an auction, you agree to pay the total amount due, including the hammer price, applicable buyer’s premium, shipping, handling, insurance, taxes, and any other charges. All applicable fees and charges will be clearly disclosed in the auction listing and/or at checkout.
6.2 Payment Methods. Accepted payment methods are as displayed at checkout and may include credit/debit cards, ACH, wire transfer, and approved third-party processors. We may require pre-authorization, deposits, or holds.
6.3 Time for Payment. Unless otherwise stated in the listing, payment is due within 48 hours of auction close. Failure to pay when due may result in order cancellation, forfeiture of deposits, account suspension, and recovery of costs.
6.4 Taxes. You are responsible for all taxes, duties, and fees associated with your purchase. We may collect and remit taxes as required.
6.5 Chargebacks and Reversals. You agree not to initiate chargebacks except in cases of confirmed unauthorized use. Unfounded chargebacks constitute breach and may result in fees, account actions, and collection.
6.6 Buyer’s Premium and Fees. We may charge buyer’s premiums, listing fees, final value fees, payment processing fees, storage fees for delayed pickup, and other disclosed charges as set forth on the Site’s fee schedule.
7.2 Risk of Loss; Title. Unless otherwise stated, title passes to the buyer upon receipt of full payment and tender of delivery to the carrier or completion of pickup. Risk of loss passes upon tender to the carrier or, for pickup, upon transfer to the buyer or the buyer’s agent.
7.3 International Shipments. Buyers are responsible for import compliance, duties, and customs clearance.
8.1 As-Is Sales. Unless expressly stated otherwise in the listing, all items are sold “as is,” “where is,” with all faults, and without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, or noninfringement.
8.2 Inspection. To the extent permitted, buyers should inspect items or request additional information prior to bidding.
8.3 Returns. Returns are permitted only if expressly stated in the listing or required by applicable law. Any permitted returns must follow the process and timing stated on the Site.
8.4 Disclaimers for Descriptions. Descriptions, estimates, and categorizations are opinions and not guarantees of authenticity, provenance, grade, or value unless expressly warranted in the listing.
9.1 Compliance. You agree to comply with all applicable laws and these Terms.
9.2 Prohibited Conduct.
You agree not to:
• Create multiple accounts or use another person’s account
• Use bots, automated scripts, or any software to interact with the platform or place bids
• Collude with other users to manipulate auction outcomes
• Exploit bugs or technical errors to gain an unfair advantage
• Engage in any activity that disrupts or interferes with the platform's operation
• Attempt to reverse-engineer, copy, or replicate WinDash's auction mechanics or platform
• Engage in fraud, misrepresentation, or any deceptive practice in connection with the
Services
• Use the platform for money laundering or any illegal financial activity
• Violate any applicable law or regulation
9.3 Enforcement. We may monitor, investigate, and enforce compliance, including suspension, termination, removal of content, cancellation of auctions, and referral to law enforcement.
10.1 Fee Schedule. Fees are as posted on the Site and may change upon notice.
10.2 No Contingency. Access to the Services is provided on a non-contingent basis; availability of any specific auction or feature is not guaranteed.
10.3 Modifications and Availability. We may modify, suspend, or discontinue any aspect of the Services without liability, with or without notice.
11.1 Overview. Our collection, use, disclosure, and protection of personal information are described in our Privacy Policy available at www.windash.com, which is incorporated by reference.
11.2 Collection. We may collect information you provide (e.g., account details, bids, payment information), information from your use of the Services (e.g., device data, cookies, usage analytics), and information from third parties (e.g., identity verification, fraud prevention, payment processors).
11.3 Use. We may use information to: (a) provide and improve the Services; (b) process transactions; (c) verify identity and prevent fraud; (d) communicate with you; (e) comply with legal obligations; and (f) enforce these Terms.
11.4 Sharing. We may share information with: (a) Sellers and buyers as needed to complete transactions; (b) service providers; (c) payment and shipping partners; (d) affiliates; (e) prospective acquirers in connection with corporate transactions; and (f) authorities as required by law.
11.5 Choices. You may manage certain privacy preferences via your account. Some features require certain data; opting out may limit functionality.
11.6 Data Security and Retention. We implement reasonable safeguards and retain data for as long as necessary for the purposes described or as required by law.
11.7 Regional Rights. Depending on your location, you may have additional rights under applicable data protection laws, including the right to access, correct, delete, or request the portability of your personal data. To exercise these rights, please submit a request through legal@windash.com.
12.1 Ownership. The Services, including the Site and all related content, features, and technology, are owned by the Company or its licensors and are protected by applicable intellectual property laws. All content available on the WinDash platform—including, but not limited to, the auction model design, software, user interface, text, graphics, logos, and trademarks—is the exclusive property of the Company or its licensors and may not be used without prior written permission.
12.2 License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes.
12.3 Restrictions. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services except as permitted by law.
13.1 Integrations. The Services may link to or integrate with third-party websites, applications, or services. We are not responsible for third-party content or practices.
13.2 Terms. Your use of third-party services is subject to their terms and policies.
14.1 Enrollment and Consent. By opting in to the Company's SMS messaging program (the "SMS Program"), you expressly: (a) consent to receive recurring transactional text messages, which include one-time passwords for account verification, event enrollment confirmations, event start alerts, outbid notifications, payment confirmations, and winner confirmations, at the mobile number you provide.
14.2 Message Frequency and Cost. Message frequency may vary. The Company does not charge a fee for the SMS Program; however, message and data rates may apply from your mobile carrier. You are solely responsible for any such charges.
14.3 Opt-Out and Assistance. You may opt out at any time by replying STOP to any message you receive from the SMS Program. You may obtain assistance by replying HELP or by contacting the Company at legal@windash.com. Following your opt-out request, you may receive a final confirmation message to acknowledge your opt-out.
14.4 Supported Carriers and Delivery. The SMS Program may be available through certain mobile carriers only. Availability, functionality, and performance of the SMS Program may vary by carrier and device. Delivery of messages is subject to effective transmission from your carrier/network operator and is not guaranteed.
14.5 Eligibility and Use. The SMS Program is intended for individuals located in the United States who are at least 18 years of age or the age of majority in their jurisdiction. You agree not to use the SMS Program for any unlawful, fraudulent, or abusive purpose, and you will comply with all applicable laws, rules, and regulations, including those governing telemarketing, privacy, and consumer protection.
14.6 Privacy. The Company’s collection, use, and disclosure of information obtained through the SMS Program are subject to the Company’s Privacy Policy, available at Privacy Policy. By participating, you acknowledge that message content and metadata may be processed by third-party service providers to facilitate message delivery and program administration.
14.7 Changes and Termination. The Company may modify, suspend, or discontinue the SMS Program, in whole or in part, at any time with or without notice, subject to applicable law. Your continued participation following any modification constitutes your acceptance of the modified terms.
14.8 Disclaimers. The SMS Program is provided “as is” and “as available.” To the maximum extent permitted by law, the Company disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free service.
14.9 Carrier Liability. You acknowledge and agree that mobile carriers are not liable for any delayed or undelivered messages sent through the SMS Program. The Company makes no guarantee regarding the timing, delivery, or receipt of any SMS message and shall not be held responsible for any failure of delivery attributable to carrier networks, technical interruptions, or any cause outside the Company's reasonable control.
15.1 Our Rights. We may suspend or terminate your access at any time for any reason, including violation of these Terms, risk, or inactivity.
15.2 Effect. Upon termination, your right to use the Services ceases. Sections that by their nature should survive (including payment, disclaimers, limitations, indemnities, and dispute resolution) will survive.
16.1 Disclaimers. The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, to the fullest extent permitted by law.
16.2 No Guarantee. We do not guarantee uninterrupted or error-free operation, winning of auctions, or accuracy of listings provided by third parties.
16.3 Limitation. To the fullest extent permitted by law, in no event will Company, its affiliates, or their respective officers, directors, employees, or agents be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to the Services or these Terms, even if advised of the possibility.
16.4 Cap. To the fullest extent permitted by law, Company’s aggregate liability arising out of or related to the Services or these Terms will not exceed the greater of one hundred dollars ($100) or the amount you paid to Company in fees for the transaction giving rise to the claim.
16.5 Basis of Bargain. The foregoing limitations form an essential basis of the bargain between you and Company.
18.1 Informal Resolution. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@windash.com and providing a brief written description within 30 days of the event.
18.2 Arbitration Agreement. Except for disputes that qualify for small claims court and claims for injunctive or equitable relief regarding intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis.
18.3 Arbitration Procedures. The arbitration will be conducted by an arbitration administrator under its rules then in effect, including any applicable consumer rules. The seat of arbitration will be Laramie County, Wyoming. The language will be English. The arbitrator will have exclusive authority to resolve disputes regarding arbitrability and the scope of this arbitration agreement.
18.4 Class Action Waiver. You and Company agree that each may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
18.5 Jury Trial Waiver. To the extent any dispute proceeds in court rather than arbitration, you and Company waive any right to a jury trial.
18.6 Governing Law; Venue. These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Subject to the arbitration provisions, the exclusive venue for any permitted court action will be the state or federal courts located in Laramie County, Wyoming, and you consent to personal jurisdiction there.
18.7 Opt-Out. You may opt out of the arbitration agreement by sending written notice to legal@windash.com within 14 days of first accepting these Terms. If you opt out, Section 17.4 (Class Action Waiver) still applies to the fullest extent permitted by law.
19.1 Corporate Status. The company is organized under the laws of the State of Wyoming, with its principal place of business at 1621 Central Ave STE 60654, Cheyenne, WY 82001.
19.2 Regulatory Compliance. Users are responsible for compliance with all applicable federal, state, and local laws and regulations related to listing, selling, purchasing, shipping, or possessing items, including any special licensing or age restrictions beyond Section 2.
20.2 Your Notices. Notices to Company must be sent to legal@windash.com or by mail to C&H Global Holdings LLC, 1621 Central Ave STE 60654, Cheyenne, WY 82001, and are deemed given upon receipt.
21.1 Entire Agreement. These Terms, together with any incorporated policies and supplemental terms, constitute the entire agreement between you and Company.
21.2 Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remainder will remain in effect.
21.3 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
21.4 No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
21.5 Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, supply shortages, war, terrorism, governmental actions, or internet failures.
21.6 Headings. Headings are for convenience only and do not affect interpretation.
21.7 Relationship. Nothing creates a partnership, joint venture, or agency relationship between you and Company.
